Eaton & Van Winkle's Business & Finance Group structures, negotiates and documents a wide variety of financial and corporate transactions. Among our clients are leading U.S. commercial banks and financial institutions, their venture capital affiliates, the U.S. operations of several of the 100 largest foreign banks, private and public corporations, partnerships and other entities. 

Typical transactions for financial institutions include commercial and acquisition lending, private placements of senior and subordinated debt, equity, convertible securities, other private equity and mezzanine financings, asset based lending, equipment and leveraged leasing and derivatives products, including interest rate, currency and equity-related derivatives.

Our attorneys have formed many private investment partnerships, including Small Business Investment Companies licensed by the U.S. Small Business Administration. We represent these clients and their portfolio companies in ongoing corporate and partnership matters and transactions such as management and leveraged buyouts and venture capital investments in diverse industries.

The Business & Finance Group also represents non-financial business clients (domestic and foreign) in sophisticated matters, including financing transactions, mergers and acquisitions, dispositions, derivatives products, investments by corporations and individuals, licensing and distributorship agreements, maritime matters and other U.S. or international commercial and financial activities. The firm has often used its long standing relationships with investment banks and other financial institutions to assist clients and prospective clients in procuring equity and venture capital, and in identifying potential joint-venture partners.

The firm also has substantial experience in representing non-profit corporations, including charitable health organizations.
