Mr. Prentice has practiced in the area of in=
ternational and domestic commercial and financial law since 1973, with =
an emphasis upon the representation of foreign and domestic corporation=
s, and banks and insurance companies in their U.S. and their offshore a=
ctivities. In these activities, Mr. Prentice has extensive experience i=
n acquisition of companies, formation of joint enterprises, transfers o=
f technology, financings (through the public markets and privately, inc=
luding asset and project-based financings) and general operations. The =
businesses involved include banking, cement, medical devices, engineeri=
ng and insurance. Mr. Prentice is a Director of National Life Insurance=
Company of Vermont and Gold Banc Corporation, Inc., as well as a Direc=
tor of a number of U.S. subsidiaries of foreign corporations. He is als=
o a Director of The Texas League of Professional Baseball Clubs. Mr. Pr=
entice is a Trustee of Washington & Jefferson College, St. Hilda & St. =
Hugh School and the National Association of Professional Baseball Leagu=
